WHAT IS HOLIDAYS AND CASH?

Holidays and Cash is an online company offering a range of benefits and privileges through the purchase of a "Privilege Pack". Participation includes access to the Holidays and Cash Rewards Program.

HOW DO YOU RECEIVE ACCESS TO HOLIDAYS AND CASH?

Access to Holidays and Cash is obtained by invitation from another Holidays and Cash Distributor. Access to Holidays and Cash is provided with the purchase of a Holidays and Cash "Privilege Pack".

WHAT IS A PRIVILEGE PACK?

A Privilege Pack provides access to a range of benefits and privileges through a selection of preferred independent product and service providers. This includes access to:

Discounted travel services
Education programs on travel
Educational programs on wealth creation
Huge range of Ebooks
Access to a FREE Holiday Package in Thailand or Las Vegas

These privileges and benefits are available to the Distributor for one year from the date of purchase of the "Privilege Pack" upon which the Distributor can purchase another "Privilege Pack" to continue to receive the benefits.

WHAT HAPPENS IF I DO NOT RENEW THE PURCHASE OF THE "PRIVILEGE PACK"?

If you do NOT renew you lose access to all the Privilege Pack benefits including access to the FREE packages. You also lose the ability to earn any further rewards from the sales team you have developed. Plus, if you have still not renewed after 3 months, then your direct upline has the authority to assign the expired account to another person.

WILL I BE NOTIFIED ABOUT MY RENEWAL?

Yes. We will send a series of text messages to the mobile phone of the purchaser and emails from day 30 before the expiry date to inform the purchaser that their Privilege Pack is due for renewal.

WILL THE DISTRIBUTORS INTRODUCED BY SOMEONE WHO DOES NOT RENEW ROLL UP TO BECOME PERSONAL INTRODUCTIONS OF THE NEXT ACTIVE UPLINE?

No. If the person does not renew in the 30 day period or after the expiry date the distributors introduced by the expired account will remain enrolled by the expired account.

WILL MY RENEWAL CREATE ANOTHER POSITION IN THE BINARY GENEALOGY?

No. The renewal will add one more stored sale to the volume of the upline.

HOLIDAYS AND CASH REWARDS PROGRAM

The Holidays and Cash Rewards Program offers Distributors cash rewards for the personal and team sales of "Privilege Packs".

PAYMENT OF CASH REWARDS

Cash Rewards generated from Holidays and Cash's Rewards Program will be deposited into each Distributors virtual eWallet account within 24-48 hours after the end of a pay week period where rewards have been earned. The pay period ends at midnight Sunday GMT time.

TEAM MEMBER and REWARD EARNINGS REPORTS

Distributors can view live reports of their personal team and rewards earnings by logging in to their Virtual Office with their personal username and password.

HOLIDAYS AND CASH TERMS AND CONDITIONS

The following was formulated for the purpose of ensuring growth and practical business operations, for you to use on a regular basis. Please refer to them when you have questions about Holidays and Cash or need to clarify any concerns about your business practices.

Holidays and Cash reserves the right to revise this information at any time.

Holidays and Cash uses the term Distributor, Independent Distributor, as one and the same.

When you register as an Independent Distributor of Holidays and Cash you agree to follow and be bound by the Holidays and Cash Code of Ethics and Policies and Procedures, which are incorporated into the Distributor Application as updated/amended from time to time.

Violations of the Company Code of Ethics, Participant Agreement, or the written Policies and Procedures may be cause for cancellation of participation. Please read through these Policies and Procedures carefully to fully benefit and understand your rights and responsibilities as a Holidays and Cash Distributor.

PURCHASE OF THE PRIVILEGE PACK

The person purchasing the Privilege Pack accepts that they are responsible for paying any additional fees associated with processing payment of $250 USD. This includes credit card processing fees, bank wire fees, agent fees and other fees charged by third parties used to process payment for Privilege Packs.

REFUNDS

All Distributors accept that the purchase of a Privilege Pack is a non-refundable purchase and that completion of the online application and payment for the Privilege Pack acknowledges that no refund will apply.

DISTRIBUTOR CODE OF ETHICS

I will follow the highest standards of honesty and integrity in all that I do.
I will not make negative or disparaging remarks about Holidays and Cash, their officers and employees, other people, products or firms.
I will present our marketing plan accurately and honestly, clearly portraying the level of effort required to achieve success.
I will carry out all the duties of sponsorship and responsible leadership as I develop my sales team. I will treat everyone, whether they are in my sales team or not, with the same courtesy.
I will not promote Holidays and Cash as a Tax avoidance scheme.
I will not produce marketing or training aids of any kind for sale to other Distributors without the prior written permission from Company.
I will consistently put forth my best efforts to promote the success of my business. I will not engage in activities that will cause loss to another Distributor or Holidays and Cash.
I will not use Company's name, information literature, gatherings of people or other Company Resources to further other business interests (i.e. selling insurance etc. or sponsoring into other companies).
I will abide by all Policies and Procedures that pertain to the operation of my business.

OVERVIEW OF POLICIES AND PROCEDURES

An applicant is considered to be a duly authorized Independent Distributor, herein after called the Distributor, if Holidays and Cash accepts the completed Distributor Application and Agreement.
Company reserves the right to accept or reject any Distributor Application and Agreement form without having to assign any reason for its acceptance or rejection.
All Distributors are independent contractors and are neither agents nor employees of Holidays and Cash.
The Distributor is responsible for bearing all costs and expenses incurred in the conduct of their participation.
An Distributor must be 18 years of age.
A Distributor must have only one introducer (sponsor).
Husbands and wives, married or de facto, may sponsor each other or have different sponsors. This also applies to any interlocking directorships or share holdings that may exist from a business/Distributor relationship.

However it should be noted, that all Distributors must meet their own personal qualification levels to qualify for the rewards from the Rewards Program.

If a married couple have joined as one Applicant and become divorced, the account shall be maintained in the name of the principal Applicant on the Distributor Application unless the company receives a certified copy of Divorce Decree which orders otherwise. A Distributor cannot resign and rejoin under a different name.

MAINTENANCE OF DISTRIBUTOR ACCOUNT INFORMATION

It is the responsibility of each Distributor to update any registration details of their account such as email address, postal address, and mobile phone number. This will ensure the Distributor is kept up to date with all updates from the company. These updates are also posted in the "Updates" section of the Holidays and Cash Virtual Office of each Distributors website. Holidays and Cash will bear no responsibility for any loss (moral, physical or financial or legal or any other kind of loss) caused by entering wrong information into registration form/ misrepresentation by Distributors or any other person.

SECURITY

Each Distributor must keep any Holidays and Cash passwords and other secure access information confidential and notify Holidays and Cash promptly if the Distributor believes that the security of an account has been compromised. Holidays and Cash has taken reasonable steps to protect the security of online transactions. However, Holidays and Cash cannot and does not warrant such security and will not be liable for any losses or damages resulting from any security breaches.

INTRODUCING NEW DISTRIBUTORS TO HOLIDAYS AND CASH

All Distributors have the option of introducing other Distributors. When an existing Distributor introduces a new Distributor they have the responsibility to assist, train, develop and monitor the new Distributor they introduce, in the various aspects of the program.

In addition, every person has the right to choose his or her own introducer. If two Distributors should claim to be the introducer or sponsor of the same new Distributor, the Company shall regard the first Application received as controlling.

A sponsoring Distributor must not exaggerate the earning potential that may result from this business opportunity.

A sponsoring Distributor is obliged to fairly and fully explain the marketing plan to all prospective Distributors, making sure to stress that the degree of success is directly related to individual effort and ability.

CROSS LINING

Cross lining or cross sponsoring is where a Distributor solicits other Holidays and Cash Distributors who are not in their team or line of sponsorship to become a Distributor in their sales team. Holidays and Cash Distributors may NOT introduce other Holidays and Cash Distributors to other similar opportunities unless the person is a personally introduced Distributor or a closely related person. A "closely related person or entity" is any person in the household of the Distributor (e.g. spouse, son, daughter, parent living in the same household) or any corporation, partnership, limited liability Company, trust or other legal entity, which is controlled by the Associate.

Cross lining is strictly prohibited in Holidays and Cash and may result in the imposition of penalties including immediate termination of the Distributors account and participation in the Holidays and Cash rewards program.

MULTIPLE PURCHASES OF PRIVILEGE PACKS / MULTIPLE POSITIONS

Holidays and Cash Distributors may NOT purchase additional "Privilege Packs". Holidays and Cash Distributors may NOT have multiple accounts under different sponsors.

Please note that Holidays and Cash does NOT encourage the purchase of multiple "Privilege Packs" to participate or advance in the rewards program. Any Distributor who advises prospective applicants of anything otherwise will be in violation of this agreement and subject to penalties as set forth herein.

RELATIONSHIP OF DISTRIBUTOR TO HOLIDAYS AND CASH

Distributors representing Holidays and Cash are known as independent Distributors, and have no authority to bind the company to any obligations. The relationship between Distributors and Holidays and Cash is established only by this Agreement. A Distributor is not an agent, employee or any other legal representative of Holidays and Cash or its service providers.

Distributors are solely responsible for all self-employment taxes and any federal, state, local or other taxes that may be due as a result of their Holidays and Cash business activities. Distributors agree to abide by any national, federal, state, provincial, county or local laws, rules and regulations pertaining to this Agreement. At Associate's own expense, Distributors will make, execute and file all such reports and obtain such licenses as are required by law or public authority with respect to this Agreement.

TRADEMARKS AND MARKETING MATERIALS

Distributors will not use the Holidays and Cash trade names and/or trademarks except to promote Holidays and Cash. In all such authorized use, Distributors will ensure that they represent themselves as an independent representative and that all marketing efforts are the responsibility of the Distributor and not the company.

Any sales and marketing materials supplied by Holidays and Cash may NOT be on sold to other parties at a profit and that any purchase of these materials from Holidays and Cash does not qualify the Distributor for any reward payments.

Holidays and Cash makes no warranty, express or implied, with respect to the use, efficacy or suitability for any purpose with respect to any such marketing material unless otherwise explicitly stated in writing in connection with the purchase thereof.

DOMAIN NAMES AND WEBSITE ADDRESSES

Distributors may not use the name "Holidays and Cash" in a domain name to promote Holidays and Cash without asking permission from Holidays and Cash. This includes any extensions of this name such as "Holidays and Cash Team", "Holidays and Cash Group", etc. This is to protect the branding of Holidays and Cash and to prevent any person thinking that any other website address or domain name is representing Holidays and Cash corporately. Any Distributor found using the word Holidays and Cash in their domain name will be asked to remove this domain name. If the Distributor does not comply they will risk termination of their account and participation in the rewards program.

THIRD PARTY MARKETING MATERIALS CREATED BY DISTRIBUTORS

Distributors may create their own marketing materials. Any marketing materials that use the name Holidays and Cash or any of Holidays and Cash's logos, trademarks or trade names MUST be approved by Holidays and Cash compliance department before they can be used.

Please note that may NOT put any website online that promotes Holidays and Cash until you receive a compliance approval number from Holidays and Cash. This number must be placed on the website along with the following wording.

"This website is owned by an Independent Distributor of Holidays and Cash"

A Compliance Approval Form is available in the secure Distributors login area.

Holidays and Cash has no liability or responsibility for any content, including the quality, accuracy, completeness, legality, or usefulness of any information, product, service or process promoted on Distributors web site or other marketing materials.

In no event shall Holidays and Cash be liable for any claims or damages of any kind arising from the contents of any website or marketing materials created by a Distributor. References in a Distributors website or marketing materials to products, services, processes, hypertext links to third parties or other information by trade name, trademark, manufacturer, supplier or otherwise do not constitute or imply an endorsement or recommendation by Holidays and Cash.

ADVERTISING

Advertising in any form that refers to "Holidays and Cash" must be approved by the compliance department. This includes advertising in; newspapers, magazines, on flyers, letter box drops, radio, television, recorded messages on answering machines, barter card type systems and the like, any telephone directories, White Pages, Yellow Pages, local directories and the like. Distributors are only permitted to promote and/or advertise themselves as Independent Distributors of Holidays and Cash.

Distributors are not permitted to take advantage of Company's name and are therefore not permitted to either infer or imply that they have a direct association or affiliation with Company by promoting themselves by way of Holidays and Cash name variations.

All advertising and promotional material authorized by Company can be used by Distributors. No Distributor will be permitted to have exclusive rights to approved advertising and promotional material. Failure to comply will result in the immediate cancellation of the offending Distributor.

LITERATURE

Holidays and Cash produces approved literature for use by Distributors. All promotional material appearing in the Distributors Virtual Office is approved for downloading to print and copying onto disc for promotional use to prospective Distributors however it may not be altered or added to in any way.

MEDIA

No Distributor may speak for Holidays and Cash by way of an interview on radio, television or through the press, including any periodical. If approached for such purpose the Distributor should contact Holidays and Cash.

COMPLIANCE APPROVAL

All submissions for compliance approval can be made by completing the form in the Distributors secure login area.

HOLIDAYS AND CASH WEBSITE

On occasion, Holidays and Cash will undergo routine maintenance or experience unexpected technical problems. Holidays and Cash will make a good-faith effort to do maintenance as quickly and conveniently as possible, and to respond to technical problems promptly. Holidays and Cash may be required to access an Associate's web site from time to time to provide maintenance. Holidays and Cash will not in any circumstance be responsible for problems, losses, or damages arising from loss of connectivity; errors in content due to application problems; loss of access by Distributors; or temporary or permanent loss of data.

PROMISES MADE BY HOLIDAYS AND CASH DISTRIBUTORS

When a Distributor presents Holidays and Cash to others they should understand all aspects of the rewards program and not make any representation or promise that is not contained in this agreement or in Holidays and Cash corporate literature and promotional materials. This representation includes print media, video/audio media or any other form of advertisement/ promotion.

If a prospective Distributor relies on any promises made by a Holidays and Cash Distributors that is not stated in this Agreement and/or official company materials, and the Distributor fails to keep any such promise, the prospective Distributor shall only have recourse against the Distributor and not the company.

If the Distributor has unfulfilled promises made they have the option of lodging a complaint with Holidays and Cash. Upon receipt of such a complaint, the Company will investigate the matter as it deems necessary and, upon validation of such a complaint, impose appropriate penalties on the offending Distributor. Such action however will not result in any recovery of damages by the prospective Distributor, which the prospective Distributor is free to seek against the offending Distributor, not the Company.

DISTRIBUTOR RIGHTS AND RESPONSIBILITIES

Distributors who choose to promote Holidays and Cash are able to earn rewards through Holidays and Cash's rewards program. The Distributor understands and agrees to abide by the Distributor Agreement. A Distributor understands they are bound by the terms hereof and that the Distributor will be entitled to participate upon acceptance of a valid application for participation.

To activate your Business Centres so it can earn rewards through the rewards program a Distributor needs to personally make two sales of a "Privilege Pack" through each Business Centre. Distributors are responsible for their own marketing and accept that any rewards earned are the result of consistent marketing efforts. Holidays and Cash makes NO guarantees that a Distributor will qualify or earn the rewards.

Distributors are responsible for ensuring any new Distributors they introduce to Holidays and Cash are aware of the policies and procedures, how the rewards program works, and how to take advantage of the benefits and privileges such as the benefits of the Holidays and Cash "Privilege Pack".

Distributor understands that participation in the Rewards Program does not affect the price of the "Privilege Pack" or any other product or service price. Only those who purchase Holidays and Cash's "Privilege Pack" shall get access to Holidays and Cash Distributor login area.

INCOME REPRESENTATION

Distributors understand that any rewards that are offered from Holidays and Cash through the rewards program is the result of Distributors selling "Privilege Packs" to other willing Distributors. Advancement in the rewards program is not based solely on the introduction of other Distributors.

No Distributor may make any promise or guarantee that a Distributor will derive any specific income or profit from the rewards program as a Distributor of Holidays and Cash. Any rewards or income a Distributor receives through the rewards program is a direct result of the marketing efforts of the Distributor and any Distributors in their sales team. Distributors must meet the required qualifications as set out by Holidays and Cash to receive rewards from the rewards program.

MISREPRESENTATION

Distributors will not misrepresent Holidays and Cash in any manner whatsoever at any time.

For purposes of this policy, misrepresentation includes, but is not necessarily limited to the following:

Reviewing the marketing plan with any person without clearly advising them that no remuneration is received solely for enrolling or sponsoring new Distributors.
Reviewing the marketing plan with any person without clearly advising them that there is no requirement to pay a fee other than the purchase of the "Privilege Pack".
Stating that any person has made or may make any specific income through the use of the marketing plan and by the generation of income, whether by specific example, geometric progression, or otherwise. Unless in the same presentation it is stated that said hypothetical or potential earnings, as earnings may vary due to individual efforts, geographic location, timing and many other factors.

POLICY CHANGES

Distributors agree that Holidays and Cash may from time to time make changes to it's benefits and privileges, product and services, pricing, rewards program or to this agreement applicable to all Distributors. Distributors will be made aware of changes via email or sms to the email address or mobile phone listed in their account details as well as posting updates in the UPDATE section of the Holidays and Cash Virtual Office of the Holidays and Cash website. It is the responsibility of each Distributor to ensure the email address listed in their account is valid and that they check regularly their Virtual Office for the latest updates. Distributors agree to abide by all changes.

ACCOUNT FEE FOR REWARD PAYMENTS

Holidays and Cash will deduct an account fee from each reward payment that is credited to a Distributors eWallet account. This fee will be shown in the rewards payment statement and shall be equal to 1% of the reward total paid for a pay week to the receiving Distributor but not exceeding $2 USD.

CONFIDENTIALITY

Distributors understand that the Holidays and Cash marketing plan, details of their progress in the rewards program, details of their Holidays and Cash sales team, and official company literature are proprietary information and considered trade secrets of Holidays and Cash.

Distributors hereby agree to not directly or indirectly disclose or use any of said confidential or proprietary information except to specifically promote the Distributors independent Holidays and Cash business in accordance with the provisions of this Agreement. Distributor further agrees that this provision shall survive the expiration or termination of this Agreement for a period of one year.

SALE OF PARTICIPATION AND "PRIVILEGE PACK"

A Distributor may sell their "Privilege Pack" and the participation position in the rewards program attached to that account, called a Username Account. It can be sold to anyone who is NOT a current Holidays and Cash Distributor or to anyone in the line of sponsorship above the selling Distributor.

For Holidays and Cash to acknowledge the sale the selling Distributor must supply proof of the sale in the form of a signed letter by both parties detailing that the sale has been made as well as providing details of the purchaser including all the fields listed in their profile. The documents can be emailed to sell@holidaysandcash.com. Holidays and Cash will advise the seller and the purchaser by email if the sale has been approved.

Distributors who sell their Holidays and Cash business must wait six months after the sale has been executed and authorized by the Company before they can rejoin as a new Distributor.

CANCELLATION

Should a Distributor wish to cancel their Agreement with Company the Distributor should notify Holidays and Cash by the help desk. If the participation is cancelled, that Distributor may not apply for new participation for at least 6 months after Company has received the notice of cancellation. Company reserves the right to cancel a Distributor Agreement should there be any breach by the Distributor of the Agreement.

INHERITABILITY

The Holidays and Cash Program/Business Centre, like any other business or asset a Distributor may have, is fully transferable in accordance with the terms of a Will, or, in the absence of a Will, it passes to the heirs pursuant to the applicable interstate succession laws. For those Distributors whose Holidays and Cash Business Centres is/are owned by a corporation (or some other type of legal entity), there would be no change in the ownership of the Business Centre upon the death of an owner of that corporation, etc. Ownership of the corporation would change by passing to the heirs, but the corporation would continue to own the Holidays and Cash Business Centre.

INDEMNITY

Distributor indemnifies and holds Holidays and Cash harmless against all claims made by any third party, and any related damages and expenses (including reasonable attorney's fees), arising out of or connected with the Distributors conduct, the associate's website or online store, the goods or service the Distributor offers, or any violation of this agreement by associate.

LIMITATION OF LIABILITY

Holidays and Cash makes no warranties, express or implied, related to the "Holidays and Cash Marketing Programs", products or services supplied there under or, including but not limited to warranties of merchantability and fitness for a particular purpose. Holidays and Cash will not be liable to any Distributor for indirect, incidental, special or consequential damages, such as (but not limited to) loss of profits or business interruption, arising out of or connected to the use of, or inability to use, the " Holidays and Cash Marketing Programs", related services, products or marketing materials provided to any Associate. The total liability of Holidays and Cash for any and all damages arising from or connected with this Agreement, the "Holidays and Cash Marketing Program" or the services, products or marketing materials provided to any Distributor shall not exceed the total fees paid by the Distributor to Holidays and Cash during the 12-month period immediately preceding the initial occurrence of the event causing the damages.

IMPOSITION OF PENALTY

If Distributor breaches any of the provisions of this Agreement, violates any applicable law or regulation or engages in any false, misleading or unfair trade practice, including but not limited to, making misleading income representations or making promises to potential Distributors that cannot be kept by Distributor, (herein called "Violation") any such Violation is grounds for the imposition of penalty, as more fully set forth hereafter.

The Company may suspend the Distributor, including suspension of rewards earned at the time, pending investigation of any alleged Violation. The Distributor shall be given notice of the alleged Violation by e-mail, fax or other rapid method of communication and shall have seven days thereafter to respond in writing (verbal response will not be considered) to any alleged Violation (s), failing which, the Company can consider the allegations to be true. (It is Associate's responsibility to see that Company receives the response, with supporting documentation, if any, within the seven-day period.) If at the end of the investigation it is determined that Distributor is to be penalized, the date of the imposition of the penalty can be, at the Company's option,

the date of the penalty notice
the date of the notice of the alleged violation
the date on which suspension, if any, occurred, or
any other current date.

Incomes suspended and/or earned, if any, as of the date of a termination, shall not be paid. Any such payments not paid shall be deemed to be liquidated damages as payment of part of the damages suffered by Company for the Violation. A Distributor can request that any decision to impose a penalty be reviewed and supply any additional material that may bear on the matter in support thereof within seven days after notice of the penalty is given. Company shall then advise the Distributor of its final decision. The Company shall have the option of imposing any one or more of the following penalties for Violations:

Disabling of Business Centres of the Distributorr;
Denial or revocation of any achievement awards otherwise earned;
Denial of sales credit for sales that fall into the team of a cross-sponsored Associate;
Denial of credit for sales of multiple web sites due to falsely representing need for them;
Imposition of a fine in an amount to be determined by the Company; and/or Termination of the Associate's Agreement.

No extension of time or indulgence granted by H&C to the distributors shall be deemed in any way to effect, prejudice or derogate from the rights of H&C in any respect under this Agreement, nor shall it in any way be regarded a waiver of any rights by H&C hereunder or a novation of this Agreement.

OFFICIAL LANGUAGES/DEFINITIONS

The English version of this Agreement, as maintained by Holidays and Cash is the official version and shall control over any other language version(s) which may be made available for ease of reference for some Distributors. As used in the Holidays and Cash materials, when the term, "sell/enrol" and words of similar import are used to describe the enrolment/ sales activities of Distributor, this is an abbreviated reference to the promotional activities of Distributor with respect to sales and it is understood that all sales are between the Company and the purchaser, not between the Distributor and the purchaser. Likewise, when the term, "recruit" and words of similar import are used to describe the referral and recruiting activities of Distributor, this is an abbreviated reference to the team building activities of Distributor and it is understood that the agreement by which one becomes a Distributor is between the Company and the recruited Distributor and not between the new Distributor and the referring Distributor.

INCORPORATION OF AGREEMENTS

If Distributor has enrolled in a "Holidays and Cash Marketing Program", the User Agreement and Acceptable Use Policy are incorporated herein as if fully set forth.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties on the subject matter hereof, and no other additional promises, representations, guarantees or agreements of any kind shall be valid concerning such subject matter unless in writing and signed by an authorized officer of Holidays and Cash.

RESPONSIBILITY

The Holidays and Cash is not responsible for the acts of its Distributors under any circumstances for their wrongful and illegal activities.

APPLICANT ACKNOWLEDGEMENT

Distributor acknowledges that Distributor has read understands and agrees to the terms set forth in this Agreement. Distributor understands that this Agreement is not in force until accepted.

ANTI-SPAM POLICY

COMPANY HAS A ZERO TOLERANCE ANTI-SPAM POLICY.

THIS MEANS THAT ANY TEAM LEADER OR DISTRIBUTOR OR RELATED DISTRIBUTOR THAT SPAM'S IN ANY WAY SHALL BE IMMEDIATELY TERMINATED WITH ALL RIGHTS FORFEITED.

The following Acceptable use (Anti-Spam) policy sets forth what activities on the part of a Company Distributor will not be tolerated under any circumstances. These policies will be enforced to insure Holidays and Cash continued reputation remains as a high quality, professional company. Company will immediately terminate any Distributor found engaging in spamming or any illegal activity. Their participation shall be terminated and they will be charged two hundred dollars for each reported spamming activity as a penalty and damage charge. Company will immediately contact state and federal authorities to report such activity as it is a crime in many jurisdictions to Spam.

Any Distributor, person or entity found spamming will have their relationship to Holidays and Cash terminated when Company receives complaints from any part of the Internet community and verifies same. All Distributors are required to agree and adhere to these stated conditions. A Distributor cannot violate any applicable local, state, federal or international law. Illegal spamming activity includes posting identical or substantially similar articles to an excessive (more than 3) number of news groups or continued posting of articles which are of topic for a newsgroup; Sending unsolicited mass (to more than 10 users) emailing which provoke complaints from the recipients or where the recipients have not agreed, prior to such mailing to accept such emails. Unsolicited commercial advertisements will be treated as illegal Spam.

HOLIDAYS AND CASH WILL FULLY COOPERATE WITH ALL CRIMINAL AUTHORITIES TO PROVIDE INFORMATION AS TO THE PERSON OR PERSONS THAT ENGAGED IN THE SPAMMING ACTIVITY IN ORDER TO OBTAIN WARRANTS AND CRIMINAL CHARGES AGAINST THOSE DISTRIBUTORS.
